These Terms of Service (“Terms”) govern your access to and use of the ZenGeist Ltd website and, where applicable, our professional services, digital products, and Meta Apps / WhatsApp Business API solutions. By using our website or engaging our services, you agree to these Terms.
1. Agreement and who we are
These Terms form an agreement between you and ZenGeist Ltd, a company registered in England and Wales (Company Number: 17288296), with registered address at Unit A, 82 James Carter Road, Mildenhall, IP28 7DE, UK (“ZenGeist”, “we”, “us”).
Contact: info@zengeistltd.com. Specific projects and subscriptions may also be governed by a separate proposal, statement of work, order form, or master services agreement, which prevails over these Terms in case of conflict for that engagement.
2. Website use
You may use zengeistltd.com for lawful, informational, and business enquiry purposes. You must not:
- Attempt to gain unauthorised access to our systems or disrupt the website
- Scrape, harvest, or misuse content or contact details in a way that violates applicable law
- Use the site to transmit malware, spam, or unlawful content
- Misrepresent your identity or affiliation when contacting us
Website content is provided for general information and may change without notice. It does not constitute a binding offer unless expressly stated in a signed agreement.
3. Professional services and products
ZenGeist provides technology services including software development, web and digital solutions, IT consultancy, hosting and infrastructure, and digital products. Scope, fees, timelines, and deliverables are defined in the relevant commercial documents.
Unless otherwise agreed in writing, all work product and intellectual property we create remain ours until fees are paid in full, after which licence or assignment terms in the commercial agreement apply. You retain ownership of materials you supply to us.
4. Meta Apps and WhatsApp Business API solutions
Where we provide Meta Apps, WhatsApp Business API access, messaging infrastructure, or related technology provider services, the following apply in addition to any client agreement:
- You must comply with Meta’s Platform Terms, WhatsApp Business Terms of Service, WhatsApp Messaging Guidelines, Commerce Policy, and all other applicable Meta and WhatsApp policies
- You are responsible for obtaining any required consent from end users before messaging them, honouring opt-outs, and ensuring message content is lawful and appropriate
- You must not use the solution for spam, scam, deceptive practices, prohibited categories, or any activity that risks suspension of WhatsApp or Meta assets
- Messaging fees, conversation charges, and related Meta billing may apply as set by Meta; you remain responsible for such charges unless we expressly agree otherwise in writing
- We may suspend or restrict access if continued use would breach Meta/WhatsApp policies, create security risk, or expose ZenGeist or other clients to enforcement action
- Meta may change APIs, pricing, or policies; we are not liable for changes outside our reasonable control, but will use reasonable efforts to adapt our solutions
You acknowledge that WhatsApp Business messaging and Meta Platform features depend on third-party platforms. Availability, quality ratings, and phone number status may be affected by Meta’s systems and your own messaging behaviour.
5. Accounts, fees, and payment
Where we issue accounts or credentials, you must keep them confidential and notify us promptly of suspected unauthorised use. Fees are as stated in your proposal or invoice. Late payment may result in suspension of services after notice. Taxes are additional where applicable.
6. Confidentiality
Each party must keep the other’s confidential information secure and use it only for performing the engagement, except where disclosure is required by law or the information is already public through no fault of the receiving party. These obligations survive termination for a reasonable period (typically three years) or longer for trade secrets.
7. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.
Subject to the above, ZenGeist is not liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, data, goodwill, or business opportunity, whether arising in contract, tort, or otherwise.
Our aggregate liability arising out of or in connection with these Terms or any engagement is limited to the fees paid to ZenGeist for the specific service giving rise to the claim in the twelve (12) months preceding the claim, unless a different cap is agreed in writing.
We do not warrant uninterrupted or error-free operation of third-party platforms including Meta and WhatsApp.
8. Indemnity
You agree to indemnify and hold ZenGeist harmless from claims, losses, and costs arising from your misuse of our services, your messaging content, your breach of Meta/WhatsApp policies, or your violation of applicable law, except to the extent caused by our wilful misconduct.
9. Suspension and termination
We may suspend or terminate access for material breach, non-payment, or policy violations (including Meta/WhatsApp policy breaches) after providing notice where reasonably practicable. On termination, you must stop using the affected services and pay outstanding amounts. Provisions that by nature should survive (including confidentiality, IP, liability, and indemnity) will survive.
10. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or confidential information.
11. Changes
We may update these Terms by posting a revised version on this page with an updated date. Continued use of the website after changes constitutes acceptance of the revised Terms. For paid services, material changes will be communicated as required by your commercial agreement.
